TEMENOS UNIFIED USER EXPERIENCE (UUX) LICENCE

The Unified User Experience component library (“Software”) is provided to you by Temenos Headquarters SA (“Temenos”) free of charge for use with Temenos software and/or services and on the terms and conditions set forth below (“Licence”). If the Software is provided to you as a component of other Temenos software or services under a separate written contract between you (or your affiliate) and Temenos (or its affiliate or authorized reseller), your use of the Software shall be governed by that contract, and the terms of that contract shall take precedence over the terms of this Licence. In all other cases, the Software is only provided under this Licence and is not licensed or supported under any other contract for Temenos products or services. By downloading, installing, using, copying, modifying or redistributing the Software, you accept this Licence. If you do not accept this Licence, you may not download, install, use, copy, modify or redistribute the Software.

Subject to the terms and conditions of this Licence, you are permitted to use the Software, and copy, modify and redistribute the Software (with or without modifications) for use, with other Temenos software and/or services. Any redistribution of the Software must include a notice that includes license terms and disclaimers consistent with those that are included in this Licence. All copyright notices in the Software must be retained and included on any copies or modified versions of the Software.

Any third-party software provided in or with the Software, or on which the Software depends, is licensed under its own separate terms (including any relevant open source licence terms).

Except for the limited rights expressly granted in this Licence, Temenos reserves all rights, title and interest in and to the Software. You acknowledge that: (i) all intellectual property rights in the Software throughout the world belong to Temenos or its licensors; (ii) rights in the Software are licensed (not sold) to you; and (iii) you have no intellectual property rights in, or to, the Software other than the right to use the Software in accordance with the terms of this Licence.

ANY USE OF THE SOFTWARE IS AT YOUR OWN DISCRETION AND RISK. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OR SUPPORT OF ANY KIND. TEMENOS DISLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATSFATORY QUALITY AND NONINFRINGEMENT.

TEMENOS SHALL HAVE NO LIABILITY UNDER ANY THEORY OF LIABILITY FOR DAMAGES OR LOSSES OF ANY KIND ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR ANY LOSS OF DATA, BUSINESS, PROFITS, REVENUE OR BUSINESS INTERRUPTION, HOWSOEVER CAUSED AND WHETHER OR NOT TEMENOS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

This Licence shall be governed exclusively by the laws of Switzerland and any dispute arising out of this Licence shall be subject to the exclusive jurisdiction of the Geneva Courts, Switzerland.
